1. Agreement & Acceptance
These Terms & Conditions (“Terms”) form a legally binding agreement between you (“Client”) and Digital Eagle (“Company”, “we”, “us”, or “our”).
By accessing our website, purchasing digital products, or engaging in our services, you acknowledge that you have read, understood, and agreed to these Terms.
2. Scope of Services
Digital Eagle provides digital and creative services including (but not limited to):
- Website Design & Development
- Digital Marketing & Lead Generation
- Social Media Management
- Branding & Graphic Design
- Automation & AI Solutions
- Sale of Digital Products (templates, bundles, eBooks, etc.)
Each engagement is governed by a proposal, quotation, or agreement specifying project scope, timelines, and deliverables.
3. Proposals, Quotes & Contracts
Proposals or quotations remain valid for 30 days unless otherwise stated.
Work begins only after written acceptance of the proposal and receipt of the advance payment. Any additional work outside the agreed scope will require a change request and may incur extra fees.
4. Fees, Payment Terms & Taxes
- Payments must be made as per the schedule mentioned in the invoice or agreement.
- A standard 25% deposit is required to commence most projects.
- All prices are exclusive of applicable taxes (e.g., GST) unless otherwise specified.
- Late payments may incur a 1.5% monthly interest fee or the maximum permitted by law.
5. Refunds & Cancellations
- Digital products (like templates or eBooks) are non-refundable after purchase.
- For service-based projects, refunds (if any) are at the discretion of Digital Eagle.
- Cancellation of ongoing retainers or marketing services requires 15 days' written notice.
- Any completed work until the date of cancellation remains payable.
6. Deliverables, Revisions & Timelines
Revisions and feedback rounds are defined in each project proposal. Clients must provide all required content, approvals, and access in a timely manner. Delays in content delivery or feedback may affect timelines and project completion.
7. Intellectual Property & Ownership
Until full payment is received, all deliverables remain the intellectual property of Digital Eagle. Once fully paid, the Client receives a license to use the final deliverables for their intended business purpose. Underlying frameworks or reusable code remain the company’s intellectual property.
8. Confidentiality
Both parties agree to maintain confidentiality of all sensitive business or project-related information. Confidential information will not be disclosed to any third party except when required by law.
9. Warranties & Disclaimers
Digital Eagle warrants that services will be performed professionally. However, no guarantees are made regarding specific results such as sales growth, ranking improvement, or lead volume. External factors (platform policies, algorithms) are beyond our control.
10. Limitation of Liability
Digital Eagle’s total liability shall not exceed the total fees paid by the client for the specific project. Under no circumstances shall Digital Eagle be liable for indirect, incidental, consequential, or special damages.
11. Indemnification
The client agrees to indemnify and hold Digital Eagle harmless from any claims, losses, or liabilities arising from use of deliverables, violation of laws, or client-provided content.
12. Termination
Either party may terminate this agreement with written notice for a material breach if not cured within 14 days. Upon termination, the client must pay for all work completed.
13. Force Majeure
Neither party shall be liable for failure or delay in performing obligations due to causes beyond reasonable control (e.g., natural disasters, internet outages, pandemics).
14. Non-Solicitation
For 12 months after project completion, the client shall not directly hire or solicit any Digital Eagle employee or contractor involved in the project without prior written consent.
15. Data Protection & Privacy
Digital Eagle handles personal data in accordance with its Privacy Policy. Clients are responsible for ensuring data protection compliance when using tools provided by us.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
