1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client" or "Customer"), and Digital Eagle ("Agency," "we," "us," or "our"), concerning your access to and use of the https://digitaleagle.in website, as well as any enterprise digital services, digital products, templates, or applications related, linked, or otherwise connected thereto. By engaging our services or purchasing our digital products, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. Enterprise Services & Scope

Digital Eagle provides elite UI/UX design, web/app development, algorithmic SEO, and digital marketing services.

• Project Scope: The specific deliverables, timelines, and technical requirements will be outlined in a separate, customized Statement of Work (SOW) or Project Proposal provided to the Client prior to commencement.
• Out of Scope: Any requests made outside the agreed SOW will be subject to additional billing at our standard hourly or project-based enterprise rates.

3. Digital Products & Licensing

In addition to enterprise services, Digital Eagle sells premium digital assets, including UI kits, templates, blueprints, and digital courses ("Digital Products").

• License Grant: Upon purchase, you are granted a non-exclusive, non-transferable, single-user (or single-agency) license to use the Digital Product for your own business or client projects.
• Restrictions: You may NOT resell, redistribute, sub-license, or share the source files of our Digital Products as standalone assets. Claiming our original digital assets as your own intellectual property is strictly prohibited.
• Access: Digital Products are delivered instantly via download links. It is your responsibility to download and back up your purchased assets.

4. Financial Terms & Payments

We operate on strict payment schedules to ensure uncompromising quality across our services and products.

• Service Deposits: For agency services, a non-refundable deposit is required to secure your project slot and initiate architecture strategy.
• Digital Products: All Digital Product purchases require full payment upfront at the time of checkout. Due to the instantly accessible and replicable nature of digital downloads, all sales of Digital Products are final and strictly non-refundable (please see our Refund Policy for specific terms).
• Late Fees: Service invoices not paid within 7 days of the due date may incur a late fee of 5% per month, and project work may be paused.

5. Intellectual Property Rights

Upon final and full payment for agency services, the Client will own the copyright to the final visual designs and finalized content created specifically for the project. Digital Eagle retains the rights to underlying foundational code, proprietary frameworks, and reusable libraries used to construct the project. We reserve the right to display completed service projects in our portfolio. For Digital Products, Digital Eagle retains all overarching copyrights and intellectual property rights; you are purchasing a license to use, not ownership of the original asset.

6. Client Responsibilities (Services)

The success of our service methodology relies on collaboration. The Client agrees to provide timely feedback, brand assets, and access required to complete the project. Delays in Client response exceeding 14 days may result in the project being archived and subject to a reactivation fee.

7. Limitation of Liability

In no event will Digital Eagle, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the website, our services, or our Digital Products, even if we have been advised of the possibility of such damages.
